ARTICLE I - NAME
This club shall be known as the Prairie Volleyball Club, an affiliate of
USA Volleyball.
ARTICLE II - MISSION STATEMENT
The mission statement of this club shall be to develop volleyball
skills; promote sportsmanship; inspire respect for the rules of the
game; to promote friendship in a competitive environment; to aid and
encourage the development of youth, in the belief that the giving of
one's self in service to her team will advance the well-being of the
team, the club, the Prairie volleyball program, and the USA Volleyball
Association.
ARTICLE III - MEMBERSHIP
Section 1: The membership of this club shall represent a cross-section
of the educational, social and cultural life of the community and shall
consist of children of good character and athletic ability who have been
duly selected for membership in the manner prescribed in these bylaws.
All memberships shall be held by individuals and shall not be transferable.
Section 2: Parents of the children who are members of the club are also
members and are eligible to be elected as a Team Representative. Team
Representatives shall be eligible to run for any office.
Section 3: Head coaches selected by the Board of Directors shall be
considered members of the club, and are not eligible to run for any
office position of the board.
ARTICLE IV - ADMISSION TO MEMBERSHIP
Members shall be admitted to the club in the following manner:
A) For all age divisions, open gym times will be scheduled
to allow members to practice
with other team players and meet the coaching staff. No
tryouts will be held.
B) Team compositions will be determined by the coaching
staff; based on division level and
player positions.
ARTICLE V - TERMINATION OF MEMBERSHIP
Section 1: Any member may resign from the club provided that all dues
and fees have been paid. Such resignation shall be in writing to the
Secretary or President.
Section 2: Any member who is two (2) or more months in arrears in the
payment of dues or fees to the club may be suspended from membership.
She will be provided written notice by the Treasurer. Such member, upon
payment of arrears may be reinstated at the discretion of the Board of
Directors.
Section 3: Any member charged with conduct unbecoming of a Prairie
Volleyball Club member or with any act prejudicial to the best interest
of the club and USA Volleyball, and against whom such charges are
sustained after opportunity to appear before the Board of Directors her
own defense, maybe expelled from membership, at the discretion of the
Board of Directors. Upon such action by the Board of Directors, the
Secretary shall immediately notify the member in writing, of said action.
Section 4: In case of the resignation or expulsion of any member, the
Secretary shall immediately notify the Iowa Volleyball Region of all
members of the club of such action.
Section 5: Any member whose membership in the club has been terminated
for any reason shall forfeit all interest in any funds or property of
the club.
Section 6: It shall be the prerogative of the Board of Directors to
confirm any termination of membership on behalf of the club.
ARTICLE VI - OFFICERS
Section 1: The officers of this club shall be a President, Vice
President, Secretary, and Treasurer who shall be elected annually. All
officers shall hold office for one (1) year or until their successors
are duly elected as provided in these bylaws. In the event of any
office becoming vacant for any reason whatsoever, the vacancy shall be
filled forthwith by the Board of Directors.
Section 2: The President shall serve as executive officer of the club,
preside at all meetings of the membership and Board of Directors, be an
ex-officio member of all committees, exercise general supervision over
affairs of the club and perform such other duties as are ordinarily
incumbent upon a President. The President shall represent the club in
all relations with USA Volleyball and the Iowa Volleyball Region and
perform a like function in their behalf in relation to the club. The
President shall attend duly called meetings of the Iowa Region or, in
the case of absence for good and sufficient reason, provide for
representation by an accredited representative.
Section 3: The Vice President shall perform such duties as are
ordinarily incumbent upon Vice Presidents and such other duties as may
be assigned to him or her by the President or Board of Directors. The
Vice President shall assist the President in preparations for and
preserving order at all meetings of the club.
Section 4: The Secretary shall keep and maintain attendance and minutes
of all membership and directors' meetings, in the form and manner
prescribed by the Board of Directors, and shall conduct such
correspondence as may be required by the President and Board of
Directors, make and file all reports required by USA Volleyball and the
Iowa Volleyball Region and generally perform such duties as are
ordinarily incumbent upon a Secretary.
Section 5: The Treasurer shall keep and maintain records of fees, dues
and monies collected, and all disbursements, in the form, manner and
frequency prescribed by the Board of Directors and prepare an annual
statement for the annual meeting of the club, and generally perform such
duties as are ordinarily incumbent upon a Treasurer.
ARTICLE VII - DIRECTORS
Section 1: There shall be a Board of Directors, which shall consist of
the President, the Immediate Past President, the Vice President, the
Secretary, the Treasurer, all coaches, and one (1) elected adult Team
Representative from each team in the club. Elected Team Representatives
shall serve for a period of one (1) year. In the event of an elected
Team Representative position becoming vacant for any reason whatsoever,
such vacancy shall be filled by action of the team whose representation
was lost and such appointee shall serve for the duration of the term of
the individual being replaced. A Team Representative is elected by the
parent(s) of the players who are members of that team.
Section 2: The Board of Directors shall have control and management of
the club's activities, determine all policies, elect of discipline
members, and generally supervise the affairs of the club subject only to
the will of the membership.
Section 3: The Board of Directors shall meet at least once each month
on a regular day to be fixed by it, or at the call of the President or
any three (3) members thereof. Roberts Rules of Order shall govern
procedure at all meetings except as otherwise provided in these bylaws.
ARTICLE VIII - ELECTION PROCEDURE
Section 1: Not later than December 1, the President shall with the
approval of the Board of Directors call for a directors' meeting to
nominate, accept and elect the Vice President, Secretary, Treasurer, and
President should the current President resign her/his position.
Section 2: At the meeting at which the election is conducted, the
President shall read the nominations. Separate balloting shall be
conducted for each office. Where there is only one nominee for an
office, the President shall request a unanimous ballot for each
nominee. A majority of the votes cast shall be required to elect. In
the event of a tie, the President's note shall be the deciding vote.
Section 3: The President of this club, who has served a full term as
President shall remain in office until he/she has resigned the position,
expresses his/her intent not to return to office the next season, or it
otherwise removed from office.
Section 4: Only members in good standing shall be eligible to hold
office or vote.
Section 5: Voting shall be by individuals and no person may cast more
than one vote. Proxies will not be recognized.
Section 6: All officers and directors shall assume responsibilities of
their respective offices on the day of elections and shall remain in
office for one (1) year unless otherwise resigned or terminated.
Section 7: The Secretary shall report the results of all elections of
the club to the membership.
ARTICLE IX - MEETINGS
Section 1: The First Membership Meeting shall be held on the last
Sunday in the month of November. The Board of Directors shall determine
the time and place of the meeting and may change the date to avoid legal
holidays. The meeting will be for the purpose of holding elections for
Team Representatives and other such business as may come before the
membership.
Section 2: An annual awards dinner/meeting will be held on the first
Sunday in May at a site to be determined by the Board of Directors. The
Board of Directors reserves the right to change the date when USA
Volleyball Tournaments or holiday interfere.
Section 3: Regular monthly board meetings of the club shall be held on
the third Sunday of each month at such time and place as may be
determined by the Board of Directors.
Section 4: Special meetings may be called by the President, or by the
Secretary upon receipt of a written request signed by at least five (5)
members in good standing. Every member shall be notified in writing at
least three days in advance of the special meeting and advised what
business will be considered. No other business may be conducted at the
meetings.
Section 5: One-third (1/3) of the members in good standing shall
constitute a quorum at any regular, special or annual meeting of the club.
Section 6: (Demeter's or Con/Morin) Manual of Parliamentary Law and
Procedure shall govern all deliberations of this organization and its
Board of Directors except otherwise provided by these bylaws.
ARTICLE X - REVENUE
Section 1: Each new member of the club shall pay membership fee as
periodically determined by the board, payment of said fee to be
prerequisite for admission to membership, payable on demand of the
Secretary.
Section 2: Each member's fee shall be deposited to a specific team's
account for which that player is assigned, unless otherwise noted as a
general club fee. Club fees will be deposited into the general club
account.
Section 3: At the conclusion of the playing season, all revenue not
expended shall be surrendered to the general Club account.
Section 4: A member shall be regarded as in good standing if not more
than two (2) months in arrears in payment of any indebtedness, dues or
otherwise, to the club.
Section 5: The Board of Directors may plan or recommend the raising or
accumulation of revenue from sources other than those stated in this
article.
Section 6: All funds, to which the public or members have contributed
for the specific purpose of financing charitable, educational or civic
activities of the club, shall be used solely for those purposes and
separate records of such funds shall be maintained.
Section 7: The fiscal year of the club shall be from November 1 of each
year until October 31 next following.
Section 8: The Board of Directors may arrange for an annual audit by a
certified public accountant or accounting practitioner, currently
licensed to practice in the state where the audit is done.
ARTICLE XI - COMMITTEES
Section 1: The Board of Directors shall determine the number and
purpose of all special and standing committees required to achieve the
purposes of this club.
Section 2: The President shall appoint the chair and members of all
committees and announce such appointments.
ARTICLE XII - MISCELLANEOUS
Section 1: In recognition of the benefits and services available to
this club and its members through its affiliation with USA Volleyball,
this club shall exercise its rights and privileges of participation in
the government and activities of USA Volleyball. This club shall
provide for its proper representation at all meetings and conventions of
USA Volleyball and the Iowa Volleyball Region should representation be
required.
Section 2: Any person elected to membership in this club shall be
deemed to have accepted these bylaws and the rules and regulations of
USA Volleyball, and shall be bound by them in all respects as if he or
she had been a member at the time of their adoption.
Section 3: The Board of Directors shall provide for the prompt payment
of all dues and other obligations to Iowa Volleyball Region, and shall
require the prompt completion and submission of all forms required by
the Iowa Volleyball Region.
Section 4: These bylaws shall be reviewed annually.
ARTICLE XIII - NOT-FOR-PROFIT ORGANIZATION
This club is organized and shall operate as a not-for-profit
organization for athletic development in the sport of volleyball,
educational improvement, and other similar purposes, and shall be
incorporated within the state/provincial statutes as such. All income
received shall be for the non-profit purposes of the organization, and
no part of the income shall inure to the benefit of any officer or member.
ARTICLE XIV - AMENDMENTS
Section 1: Any amendment to these bylaws must be in conformity with the
rules and regulations of USA Volleyball and the Iowa Volleyball Region,
shall be adopted by two-thirds (2/3) vote of the members present at the
meeting, provided written notice of the proposed amendment and date of
such meeting shall have been given the members at least two (2) weeks
prior thereto.
